If the scope or requirements change, the original quote, timeline, or both may need to be revised.
A project is considered accepted when the client accepts the applicable proposal, contract, milestone, invoice, or other agreed project arrangement.
5. Payments
Payment terms are agreed separately for each project and may include deposits, milestone payments, recurring payments, or payment upon completion.
Where a deposit or initial payment is required, work may not begin until that payment has been received.
Clients are responsible for making payments according to the schedule agreed for their project.
Any applicable taxes, transaction charges, or other fees will be handled according to the individual agreement and applicable requirements.
6. Project Timelines and Client Responsibilities
Estimated project timelines depend on the scope of work and timely cooperation from the client.
Clients may be required to provide materials such as:
- website copy;
- images and videos;
- branding assets;
- login credentials or appropriate account access;
- product or service information;
- legal or business information; and
- feedback and approvals.
Delays in receiving required materials, access, feedback, or approvals may result in changes to the project timeline.
MaTox Digital Agency is not responsible for delays caused by the client, third-party providers, platform outages, hosting providers, technical problems outside our reasonable control, or other circumstances beyond our control.
7. Revisions and Changes to Scope
The number and nature of revisions available for a project will be determined by the applicable project agreement.
Revisions generally relate to adjustments to work already included within the agreed scope.
Requests for new pages, functionality, integrations, substantial redesigns, additional services, or other work outside the original scope may be treated as additional work and quoted separately.
8. Client-Provided Content and Materials
Clients are responsible for ensuring they have the necessary rights and permissions to use any content, images, videos, logos, trademarks, fonts, data, or other materials they provide to MaTox Digital Agency.
By providing such materials, the client authorizes us to use them as necessary to perform the agreed services.
MaTox Digital Agency is not responsible for copyright, trademark, licensing, privacy, or other legal issues resulting from materials supplied or specifically requested by the client.
9. Third-Party Services and Costs
Projects may involve third-party products or services such as:
- domain registration;
- website hosting;
- premium WordPress themes or plugins;
- software subscriptions;
- booking systems;
- email marketing platforms;
- stock photography or video;
- payment processors;
- analytics and advertising platforms; or
- other external services.
Unless expressly included in the project agreement, third-party fees are not included in MaTox Digital Agency’s service fees.
Third-party services are governed by their own terms, pricing, policies, availability, and technical limitations. MaTox Digital Agency does not control these providers and cannot guarantee their continued availability, functionality, pricing, or performance.
10. Intellectual Property
Unless otherwise agreed, MaTox Digital Agency retains ownership of its pre-existing materials, methods, reusable components, know-how, templates, processes, and other intellectual property that existed independently of a client project.
Ownership or usage rights for project-specific final deliverables will be determined by the applicable project agreement.
Where ownership is intended to transfer to the client, such transfer may be conditional upon full payment of all amounts due for the project.
Third-party assets, software, plugins, fonts, stock media, and similar materials remain subject to their respective licenses and are not transferred beyond the rights permitted by those licenses.
11. Portfolio and Promotional Use
Unless otherwise agreed in writing, MaTox Digital Agency may display completed work for portfolio, case study, social media, award submission, or promotional purposes.
Confidential information, private business information, credentials, customer data, and other non-public materials will not knowingly be disclosed as part of such use.
Clients who require their project to remain confidential should communicate this requirement before or during the engagement.
12. SEO, Advertising and Marketing Results
SEO, social media, advertising, website optimization, and other digital marketing activities are affected by factors outside the control of MaTox Digital Agency.
We therefore do not guarantee specific:
- search engine rankings;
- website traffic levels;
- leads or enquiries;
- sales or revenue;
- advertising performance;
- social media reach or engagement; or
- other marketing outcomes.
Search engines, advertising platforms, social networks, algorithms, competitors, market conditions, and user behavior may change at any time.
Any projections, estimates, examples, case studies, or previous results should not be interpreted as a guarantee of future performance.
13. Website and Technical Performance
We aim to provide professional, functional digital work based on the requirements agreed for each project.
However, no website, software, hosting environment, plugin, third-party integration, or online service can be guaranteed to operate without interruption or error indefinitely.
Changes to browsers, devices, WordPress, plugins, APIs, hosting environments, third-party platforms, security requirements, or other technologies may affect a website after a project has been completed.
Ongoing maintenance, updates, monitoring, or technical support are only included where specifically agreed.
14. Limitation of Liability
To the extent permitted by applicable law, MaTox Digital Agency will not be liable for indirect, incidental, special, consequential, or similar losses arising from the use of this website or our services, including loss of profits, revenue, data, business opportunities, or goodwill.
